VentureCalculator Adds 8 New Calculators for Fundraising, Dilution, and Exit Planning
We shipped a major VentureCalculator release today. In a single update cycle, we added eight new calculators and expanded coverage across the parts of venture finance that founders and investors ask about most: dilution tradeoffs, SAFE conversions, runway, tax impact, and liquidation outcomes.
This is one of the biggest product expansions we have made so far.
What shipped today
These are the new calculators now live in VentureCalculator:
-
Waterfall
- Model liquidation preferences, participation structures, and capped participation.
- See exactly how exit proceeds split across rounds and founders.
-
SAFE Stacking
- Model multiple SAFEs converting in the same priced round.
- Break out cap vs. discount mechanics per instrument and quantify total SAFE dilution.
-
Dilution Simulator
- Compare two financing scenarios side by side.
- See round dilution, pool dilution, founder ownership after close, and effective founder value.
-
Pro-Rata Rights
- Calculate how much an existing investor must invest to hold ownership in a new round.
- Compare outcomes if they participate vs. decline.
-
Runway
- Project runway from burn, revenue, growth assumptions, and one-time expenses.
- View both headline runway and revenue-adjusted runway with a cash timeline.
-
Stock Option Tax Impact
- Model ISO and NSO exercise outcomes with AMT, qualifying/disqualifying treatment, and QSBS.
- Estimate net after-tax proceeds under different assumptions.
-
Secondaries
- Model partial liquidity through tender offers or secondary sales.
- Quantify discount impact, tax treatment, and effective net share price.
-
409A / FMV Estimator
- Estimate common FMV with a Black-Scholes style approach and DLOM adjustment.
- Useful for planning and sensitivity analysis around equity pricing.
Why this release matters
Most teams are not missing spreadsheets. They are missing speed and consistency when decisions need to be made quickly.
This release helps teams answer common boardroom questions faster:
- Which term sheet preserves more founder value?
- How much SAFE overhang is sitting ahead of the next round?
- What does participation preference do to outcomes at a mid-range exit?
- How much runway do we really have if revenue ramps slowly?
- What does this stock option decision look like after tax?
By putting these models in one place with aligned assumptions, VentureCalculator makes it easier to compare scenarios without rebuilding analysis every time.
Reliability improvements included in the same release
Alongside the new calculators, we also tightened the calculation layer:
- Added stricter input normalization and guardrails for edge-case scenarios.
- Expanded shared typed models for consistency across calculators.
- Increased automated coverage with dedicated correctness tests.
Current test status after this release: 14 test files, 126 passing tests.
Quick start
If you are using VentureCalculator today, start here:
- Open Dilution Simulator to compare your next two financing options.
- Run SAFE Stacking before finalizing priced-round assumptions.
- Check Waterfall to understand payout bands at low, mid, and high exits.
- Use Runway and Tax Impact to align operating decisions with ownership outcomes.
Closing
This release expands VentureCalculator from a core cap table toolkit into a broader venture-finance planning workspace. We are continuing to add practical models that map to real decisions, not abstract theory.
